Summertown Choral Society Constitution

1. Title

The name of the Society shall be Summertown Choral Society.

2. Aims

The aims of the Society shall be to educate the public in the Art and Science of Music by the rehearsal of choral music, the presentation of public concerts and other charitable activities.

3. Management

a) The management of the Society shall be in the hands of a committee consisting of a Chair, Treasurer and Secretary and no fewer than three, no more than six other members of the Society.
b) The committee shall be elected annually at the Annual General Meeting. Nominations for all members of the committee shall be made to the Secretary by any two members of the Society in advance of the Annual General Meeting. In the event of more nominations than required being received, a ballot shall be taken.
c) A meeting of the committee shall be held at least twice a year and whenever necessary. Four shall be a quorum.
d) The committee may co-opt additional members during the year.
e) The Musical Director may be invited to attend meetings in a consultative capacity.

4. Musical Direction

a) The committee shall be responsible for appointing a Musical Director and, if required, an Assistant Musical Director.
b) The Musical Director shall be responsible for the artistic direction of the Society, including the selection of music for rehearsal and performance, in consultation with the committee.

5. Membership

a) Application for membership shall be made to the Committee.
b) Members shall pay an annual subscription at the beginning of each season (or a proportionate subscription in September and January) of an amount approved at a General Meeting. Those not in full-time employment may pay a reduced subscription at the committee’s discretion.
c) Fees may in addition be levied for additional services including music hire, trips and events.

6. Rehearsals

Regular weekly rehearsals shall be held throughout the season and additional rehearsals may be called by the Musical Director. All members are expected to attend rehearsals regularly.

7. Finance

a) The Society may receive donations, grants in aid or financial guarantees.
b) The income and property of the Society, wherever from, shall be applied solely towards promoting the aims of the Society as described in this constitution and no portion of it shall be paid or transferred either directly or indirectly to any member or members of the Society except in payment of legitimate expenses incurred on behalf of the Society.
c) In the event of the dissolution of the Society, any remaining assets, after all liabilities have been discharged, shall not be paid or transferred to any member or members of the Society but shall be applied for such charitable purposes similar to those of the Society, or shall be paid or transferred to such charitable institutions having similar aims to those of the Society.

8. General Meetings

a) An Annual General Meeting shall be held each year to elect the committee for the coming year, to receive reports and for any other business.
b) An Extraordinary General Meeting shall be called at any time at the request either of the committee or of any ten members of the Society. At least one week’s notice of such a meeting shall be given to members.

9. Alterations to the Constitution

a) Any proposed alterations to this constitution must appear on the agenda of the Annual General Meeting.
b) Unless such a proposal is sponsored by the committee, a copy of the resolution must be sent to the secretary at least 21 days before the date of the Annual General Meeting. A two-thirds majority of members present and voting is required for the passing of such a resolution, provided that no alteration shall be made to clause 2 (Aims), clauses 7 b. (use of income) and c. (dissolution) or this clause until the approval in writing of the Charity Commissioners or other authority having charitable jurisdiction shall have been obtained.
